1. Definitions
For the purposes of these Terms of Service, the following definitions apply:
- "Company" or "We" or "Us" refers to Salian Defense Inc., a Virginia corporation, doing business as RFI Hawk.
- "Service" or "Platform" refers to the RFI Hawk web application, including all features, tools, APIs, and related services.
- "User" or "You" refers to any individual or entity that creates an account or uses the Service.
- "Content" refers to any data, documents, text, or materials uploaded to or generated by the Service.
- "AI-Generated Content" refers to any text, analysis, proposal drafts, or other outputs produced by the Service's artificial intelligence features.
- "Subscription" refers to the paid or free tier plan associated with your account.
- "Tokens" refers to the unit of measurement for AI processing consumption within the Service.
2. Service Description
2.1 Platform Overview
RFI Hawk is a Software-as-a-Service (SaaS) platform for government contracting intelligence operated by Salian Defense Inc. The platform provides:
- Opportunity scoring and matching based on company profiles
- AI-powered analysis of federal contracting opportunities
- Document processing, chunking, and retrieval for past proposals and contracts
- Proposal assistance and drafting tools
- Grant opportunity tracking from Grants.gov
- Competitive intelligence and market analysis
- Compliance matrix generation and tracking
- Multi-source opportunity ingestion from SAM.gov, Grants.gov, DARPA, DIU, NSTXL, and SBIR.gov
2.2 Data Sources
Data is sourced from public government APIs including SAM.gov, USASpending.gov, Grants.gov, DARPA, DIU, NSTXL, and SBIR.gov. We do not guarantee contract wins, accuracy of scoring, or completeness of opportunity data. RFI Hawk is a decision-support tool, not a substitute for professional judgment.
2.3 Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control, including government API outages.
3. Account Terms
3.1 Eligibility
You must be at least 18 years of age and authorized to represent your company to create an account. By creating an account, you represent and warrant that you have the legal authority to bind your organization to these Terms.
3.2 Account Responsibilities
- Each account is associated with one primary company profile. Additional profiles may be available via team invitations.
- You are responsible for maintaining the security of your account credentials and password confidentiality.
- You must not share your account credentials with unauthorized parties.
- We enforce single-session licensing: only one active session per account is permitted at a time (Team tier accounts may have multiple concurrent sessions).
- You agree to provide accurate and current information during registration and to keep your profile information up to date.
3.3 Account Suspension and Termination
We may suspend or terminate accounts for abuse, non-payment, Terms of Service violations, or any activity that threatens the integrity of the platform. We will provide reasonable notice before termination except in cases of egregious violations.
4. Billing and Subscriptions
4.1 Subscription Plans
The Service offers multiple subscription tiers (Free, Starter, Pro, and Team), each with different feature sets and usage limits. Enterprise arrangements are available through direct contact.
4.2 Payment Processing
- Subscription fees are billed monthly or annually via Stripe, our third-party payment processor.
- We do not store credit card numbers. All payment processing is handled securely by Stripe.
4.3 Token Usage and Billing
- AI token consumption is billed at a markup on actual API costs. Monthly token allocations reset on a 30-day rolling cycle.
- Token pack purchases are one-time add-ons with a 90-day expiration period.
- The Free tier has no payment obligation and provides limited platform access.
4.4 Plan Changes
- Plan upgrades take effect immediately. Plan downgrades take effect at the end of the current billing cycle.
- In the event of a failed payment, a 3-day grace period is provided before the account is downgraded to the Free tier.
- We reserve the right to change pricing with 30 days advance notice to existing subscribers. Price changes do not apply retroactively to the current billing cycle.
4.5 Refund Policy
Subscription fees are non-refundable except as required by applicable law. Token pack purchases are non-refundable. If you believe you have been charged in error, contact support@rfihawk.com within 30 days of the charge.
5. User Content and Data
5.1 Ownership
You retain full ownership of all documents you upload to the platform, including proposals, contracts, capability statements, and other materials.
5.2 License Grant
By uploading documents, you grant RFI Hawk a limited, non-exclusive license to process, store, chunk, index, and analyze your uploaded documents solely for the purpose of providing the Service to you.
5.3 Data Protection Commitments
- No Sharing: We do not share your uploaded documents with other users unless you explicitly authorize such sharing.
- No AI Training: We do not use your uploaded proposals, contracts, or other documents to train artificial intelligence models.
- No Sale of Data: We will never sell your data, user information, or usage patterns to third parties. Our business model is subscriptions and token packs, not data brokerage.
- Anonymized Data: We may use anonymized, aggregated usage data (such as feature usage patterns and platform performance metrics) to improve the platform. This data cannot be traced back to individual users or their documents.
5.4 Prohibited Content
You must NOT upload, store, or process the following types of information on the platform:
- Classified Information: Any information classified under Executive Order 13526 or successor orders (Confidential, Secret, Top Secret, SCI). RFI Hawk is not a classified information system and is not authorized to handle classified data.
- ITAR-Controlled Data: Technical data controlled under the International Traffic in Arms Regulations (ITAR, 22 CFR 120-130). This includes technical drawings, specifications, and other defense articles on the United States Munitions List (USML).
- Export-Controlled Information: Data subject to Export Administration Regulations (EAR) restrictions that would require an export license for cloud processing.
Controlled Unclassified Information (CUI): While RFI Hawk implements security controls aligned with NIST 800-171 and supports CMMC compliance tracking, the platform has not been independently assessed or authorized for CUI storage. Users who handle CUI should evaluate the platform's security posture against their specific CUI requirements before uploading such data.
5.5 Your Responsibility
You are responsible for ensuring you have the legal right to upload all documents you submit to the platform. You are solely responsible for determining whether your data is subject to classification, export control, or CUI handling requirements before uploading it to the Service.
6. AI-Generated Content
6.1 Nature of AI Output
Proposal drafts, opportunity analyses, keyword suggestions, compliance matrices, and other AI-generated outputs are starting points and decision-support aids, not final deliverables.
6.2 User Responsibility
- You are solely responsible for reviewing, editing, verifying, and validating all AI-generated content before use, especially before submission to government agencies.
- AI output may contain factual errors, hallucinations, or omissions. It should never be submitted to government agencies without thorough human review.
- Using AI-generated content without adequate human review may violate federal acquisition regulations and is done at your own risk.
6.3 No Warranties on AI Content
We do not guarantee the accuracy, compliance, completeness, or suitability of any AI-generated content for any particular purpose.
7. Platform Data and Intelligence
- Opportunity scores, win probability estimates, and competitive assessments are algorithmic estimates based on available data. They are not guarantees or predictions of outcomes.
- We are not responsible for missed opportunities, incorrect scores, stale data, or any business decisions made based on platform outputs.
- Government data sourced from SAM.gov, USASpending.gov, and Grants.gov may lag real-time availability by hours or days due to API update cycles.
- API disruptions, government website downtime, or data feed interruptions may temporarily affect the freshness and completeness of opportunity data.
8. Intellectual Property
8.1 Platform Ownership
The Service, including its design, code, algorithms, scoring methodology, and brand elements, is the intellectual property of Salian Defense Inc. and is protected by applicable copyright, trademark, and other intellectual property laws.
8.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use that feedback for any purpose without obligation to you.
9. Prohibited Uses
You agree not to:
- Resell, redistribute, or sublicense platform data, scores, or analyses to third parties.
- Use automated scraping, bots, or programmatic methods to extract data from the platform beyond normal use.
- Share your account credentials with unauthorized individuals or use shared accounts.
- Upload classified information, ITAR-controlled technical data, or export-controlled information to the platform.
- Use the platform for any illegal purpose or in violation of any applicable laws or regulations.
- Submit AI-generated proposals to government agencies without substantive human review and editing.
- Misrepresent AI-generated content as entirely human-authored work product.
- Attempt to circumvent tier restrictions, token limits, or access controls.
- Upload malicious files, viruses, or content designed to disrupt the platform.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to engage in fraud, misrepresentation, or other deceptive practices in government contracting.
10. Third-Party Services
The Service integrates with third-party services including but not limited to:
- Stripe: Payment processing. Subject to Stripe's terms and privacy policy.
- AI Processing Providers: Text analysis, generation, and classification. These providers process data per-request and do not retain your data beyond the request lifecycle.
- Government APIs: SAM.gov, USASpending.gov, Grants.gov, and other public data sources.
We are not responsible for the availability, accuracy, or policies of third-party services.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
12. Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE ARE NOT LIABLE FOR LOST CONTRACTS, MISSED DEADLINES, BUSINESS LOSSES, LOST PROFITS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
OUR MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT IS LIMITED TO THE TOTAL FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR FAILURES, ERRORS, OR DISRUPTIONS CAUSED BY THIRD-PARTY SERVICES INCLUDING SAM.GOV, STRIPE, AI PROCESSING PROVIDERS, GRANTS.GOV, OR ANY GOVERNMENT DATA SOURCE.
13. Indemnification
You agree to indemnify, defend, and hold harmless Salian Defense Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your submission of AI-generated content to government agencies
- Any content you upload to the platform
- Your violation of any applicable law or regulation
14. Termination
14.1 Voluntary Cancellation
You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing cycle.
14.2 Termination by Company
We may terminate or suspend your account for Terms of Service violations with reasonable notice, except in cases of egregious violations where immediate action is warranted.
14.3 Data After Termination
Upon account termination or cancellation, your data (including uploaded documents, company profiles, and usage history) will be retained for 30 days, after which it will be permanently deleted. You may request a data export at any time before deletion by contacting support.
14.4 Surviving Provisions
Provisions regarding Limitation of Liability, Indemnification, Governing Law, and any accrued obligations survive termination.
15. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be resolved through binding arbitration in the Commonwealth of Virginia, in accordance with the rules of the American Arbitration Association.
16. Changes to Terms
We may update these Terms of Service from time to time. When we make material changes, we will notify existing users via email and update the "Last Updated" date at the top of this page. Your continued use of the platform after changes constitutes acceptance of the updated terms. If you do not agree with any changes, you may cancel your subscription and stop using the Service.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
